Our Group Secretariat team are dedicated people who provide corporate governance advice and secretariat services to the Commonwealth Bank Group’s (onshore and offshore subsidiaries.
Working in this team, no two days are the same. You will provide secretariat and governance services to one of Australia’s largest financial services organisations.
We are open to permanent and part-time applications.
Do work that matters:
1. Advising in relation to corporate filings, the maintenance of corporate registers and other statutory records including the CBA Group’s entity management system, Diligent Entities.
2. Providing advice on CBA’s governance policies and compliance issues to assist Directors and the Company Secretaries in the discharge of their statutory duties and governance obligations.
3. Reviewing documentation for compliance with processes and to identify governance issues.
4. Advising in relation to corporate governance practices and providing (non-legal) advice regarding relevant aspects of the Corporations Act, APRA Prudential Standards and ASIC policy.
5. Developing and maintaining internal policies, procedure manuals and templates.
6. Developing and maintaining effective stakeholder relationships by being a trusted adviser for the Company Secretaries and the broader business stakeholders.
7. Assist in the smooth running of Board/Committee meetings and decision-making by advising on papers, minutes, and governance documents and processes.
8. Supporting the testing and performance of risk controls mapped to the Group Secretariat team.
9. Producing data and reports to respond to internal stakeholder requests.
10. Assisting in the delivery of governance projects for the benefit of the Group Secretariat team and broader CBA Group.
We're interested in hearing from people who have:
11. A law degree and Graduate Diploma of Applied Corporate Governance (GIA) are essential.
12. Advanced knowledge, understanding and application of the Group’s corporate governance structure including relevant legislation, standards and regulations.
13. A minimum of five years’ experience in a governance role, a combined governance and legal role or a private practice legal role advising on governance matters and corporate advisory.
14. Strong organisational skills including the ability to plan, prioritise, meet deadlines, problem solve and make sound judgements.
15. Demonstrated ability to work collaboratively as part of a team as well as independently.
16. Excellent written and verbal communication skills, strong stakeholder engagement and influencing skills with the ability to build rapport at all levels across the organisation.
