The Organisation Our client is a well established and longstanding Not-for-profit business here in Brisbane, well known for their strong contribution and mission statement, now seeking a Corporate Secretary on a permanent basis. The Role The Corporate Secretary is responsible for ensuing quality and timely distribution of Council and Committee agendas and papers, supports the effectiveness of the Council and Committees by ensuring that policy and procedures are followed. Responsibilities: Provide expert advice to the Council and Committees on corporate governance and adhere to 'best practice' benchmarks. Attend and oversee Council and Committee meetings, managing the preparation of agendas, meeting papers, minutes, and action lists. Participate in Leadership meetings, Internal Committees, and other relevant committees when necessary. Fulfil company secretarial duties mandated by legislation, including maintaining a conflicts register. Collaborate with the Executive Director – Legal, Governance & Risk to offer company secretarial support to Council and Committee Chairs and Members. Update and uphold the Governance Charters, policies, and protocols for Council and Committees. Maintain and regularly update personnel files for Council and Committee members. Manage recruitment, induction, and maintenance of a comprehensive manual for Council and Committee members, including preparing Deed of Access and Indemnity. Draft quarterly reports for Executive Director and Chair Prioritise and manage tasks to meet the needs of Council and Committees effectively. Ensure all documentation complies with Archdiocesan quality assurance standards for creation, storage, and archiving. Assist in monitoring compliance with policies, procedures, work instructions, and organisational and legislative requirements. Undertake any other duties as requested within the scope of your skills, abilities, and experience or following provided training. About You Governance or Legal qualifications will be considered favourably and prior working experience in a Corporate Secretary, Company Secretary or Legal Support role Exceptional organisational skills and ability to manage multiple priorities with attention to detail. Strong communication skills, both written and verbal, with the ability to interact effectively with diverse stakeholders. Proficient in using productivity tools and software, such as MS Office Suite and board management platforms such as Diligent. Demonstrated professionalism and ability to maintain confidentiality.
