Role overview:
Due to ongoing growth, we are looking for a dedicated Senior Company Secretary to join our team at Company Matters. In this role, you will deliver top-tier company secretarial services and governance advice to our clients, ensuring the highest standards of compliance and corporate governance.
Location: Sydney or Melbourne
Key Responsibilities:
* Provide practical and commercial advice on the Corporations Act, ASX Listing Rules, market practices, and corporate governance.
* Attend Board and Committee meetings, preparing accurate, timely, and professional minutes.
* Manage annual reporting requirements, draft notices of meetings, and oversee member meetings.
* Efficiently manage corporate action projects.
* Collaborate with client Boards and Management to achieve effective governance outcomes.
* Lead and mentor team members, fostering a collaborative and supportive work environment.
About You:
* Proven experience in an ASX-listed company secretarial role, or a legal/finance role, or with a top-tier law firm supporting ASX-listed clients.
* Strong technical knowledge of ASX Listing Rules and the Corporations Act, particularly in continuous disclosure matters.
* Excellent ability to prioritize tasks, manage multiple clients and deadlines, and exercise independent judgment.
* High attention to detail, with a commitment to delivering high-quality work.
* Excellent communication and interpersonal skills, with the ability to build relationships with Directors and senior management.
* Expertise in building and maintaining strong relationships with a range of internal and external stakeholders
* A proactive team player with the ability to work independently when required.
