Assistant Company Secretary & Legal Counsel
This is a 12 month Fixed Term position. This position presents an exceptional opportunity to work with the senior management team of one of Australia's leading listed companies. Working closely with the Group Company Secretary, Company Secretariat team, Legal team and business functions, your role will include acting as assistant company secretary to the Board of Woodside Energy Group Ltd ("Woodside"). In doing so, you will ensure that Woodside's corporate compliance and governance requirements are met and provide legal support in relation to corporate matters.
Duties & Responsibilities:
* Advise Woodside's Board and Committees on corporate governance requirements and general corporate legal matters.
* Provide company secretarial services to Woodside's Board and Committees, including preparing Board and Committee papers and reports, agendas and record keeping of meetings and Board decisions as appropriate.
* Work closely with the Company Secretariat team to ensure that Woodside satisfies its corporate compliance and governance obligations in accordance with its Constitution, and applicable provisions of the Corporations Act, ASX Listing Rules, ASX Corporate Governance Council's Principles and Recommendations, the New York Stock Exchange Listing Rules and US securities laws applicable to Woodside as a foreign private issuer.
* Provide company secretarial support and work alongside the relevant business functions and service providers in relation to Woodside's financial and non-financial reporting requirements and continuous disclosure obligations, Annual General Meeting, interim and final dividends, employee share plans and the management of Woodside's shareholder registers.
* Organise and facilitate the induction and professional development of Woodside's Directors.
* Assist with managing and overseeing external legal advisers and shareholder registry service providers.
* Liaise with internal stakeholders in relation to corporate compliance and governance matters.
* Provide corporate governance and legal support for various corporate matters including acquisitions, capital raisings, etc.
* Develop, update and implement Woodside's internal corporate governance policies (including Board and Committee policies) and procedures as required.
Skills & Experience:
* Qualified corporate lawyer with at least four years' corporate legal experience.
* Highly proficient with the Corporations Act and ASX Listing Rules. Familiarity with the New York Stock Exchange Listing Rules is preferable but not required.
* Exceptional attention to detail and highly effective organisational and time management skills.
* Ability to manage a high-volume workload with competing deadlines and efficiently deliver business-focused legal advice.
* Excellent communication and influencing skills.
* Strong team player and ability to build collaborative relationships.
* Excellent stakeholder engagement and management skills.
* Member of the Governance Institute of Australia or similar, or willing to undertake relevant studies.
* Admitted to practice in Western Australia or eligibility to be admitted to practice in Western Australia.
