Position Overview:As the Company Secretary, you will play a pivotal role in ensuring that the company adheres to legal and regulatory requirements. You will be responsible for facilitating effective communication between the board of directors, shareholders, and other stakeholders, ensuring transparency and accountability in our corporate governance practices. Key Responsibilities:- Manage the company's compliance with the Corporations Act 2001 and other relevant legislation.- Prepare and distribute agendas, minutes, and reports for board and committee meetings.- Provide guidance to the board on corporate governance best practices.- Maintain statutory registers and ensure timely filing of documents with regulatory bodies.- Coordinate the company's annual general meetings (AGMs) and other shareholder meetings.- Advise on risk management and corporate governance issues.- Act as a liaison between the board, management, and shareholders.- Support the development and implementation of corporate policies and procedures. Qualifications:- Business Administration, or a related field.- A formal qualification as a Company Secretary (e.g., AICD or similar) is desirable but not essential.- Proven experience as a Company Secretary or in a similar governance role, preferably in Australia.- In-depth knowledge of corporate governance principles and compliance regulations.- Strong organizational and communication skills, with the ability to handle sensitive information discreetly.- Excellent attention to detail and problem-solving abilities.- Proficiency in using governance software and Microsoft Office Suite.
