Following the completion of a comprehensive Strategic Review in May 2024, it was announced that Perpetual Limited will become a standalone Asset Management business and has entered into an agreement with an affiliate of Kohlberg Kravis Roberts (KKR) who will acquire the Corporate Trust and Wealth Management businesses.
The Wealth Management business consists of three distinct brands in addition to Perpetual Private – Fordham, Jacaranda financial planning and Priority Life – offering a unique mix of wealth management, advice and trustee services. With a diverse range of capabilities including strategic advice on superannuation and retirement planning, general investment, asset protection, insurance, tax management, estate planning, aged care, social security, succession planning and philanthropy. Our clients include individuals, families, businesses, not-for-profit organisations and Indigenous communities throughout Australia.
An exciting opportunity to be part of the Perpetual Wealth Business business as the Company Secretary.
About the role
* Perform the duties and responsibilities of a Company Secretary for PWM to various boards and committees as required by the Corporations Act, the Companies' Constitutions and any other relevant legislation or regulation;
* Ensure that all matters relating to the effective and efficient operation of the boards and committees are attended to in a proactive and diligent manner;
* Ensure that regulatory and corporate governance requirements are met and liaise with internal and external stakeholders as required;
* Provide support to the board on legal matters, particularly in relation to corporate governance and compliance; and
* Incorporate best practice corporate governance processes into board business and maintain strong corporate governance frameworks.
About you
We’re looking for someone with:
* Proven experience as a Company Secretary or in a similar governance/compliance role;
* Outstanding organizational skills, including ability to set priorities and pursue tasks to completion within deadlines;
* Outstanding stakeholder management and communications skills;
* Advanced computer and document control knowledge and experience;
* Experience with electronic board, share registry and regulatory portals;
* Outstanding attention to detail;
* Self-motivated with high level of initiative, with minimal supervision from the CFO, PWM;
* Ability to handle confidential information with discretion; and
* Ability to work well independently and in a team environment; flexibility and a willingness to adapt to a changing digital environment.
