Assistant Company Secretary - Global Financial Services OrganisationThis is an exciting opportunity for a motivated individual to be part of a leading Financial Services Organisation. The Assistant Company Secretary will be a key member of the secretariat and governance function and will support the Company Secretary in the management and support of the Board and Board Committees administration related to corporate governance, legal and regulatory obligations.The successful candidate will develop relationships with key stakeholders, support executives and directors, and oversee highly sensitive and confidential information. This role will also support the implementation and administration of the corporate governance framework.Duties and ResponsibilitiesCo-ordinate both Board and Committee meetings and liaise with Executives and Company Secretary, Chairs, and Chief Executive Officer to determine clear agendas and timetables.Manage communications with the Company Secretary, including the production and dispatch of management reports and Board and Committee papers and agendas and review meetings.Create agendas, attend meetings, and record minutes.Manage statutory filings and lodgements in a timely manner, including ASIC Company Statements.Communicate directly, and on behalf of the Company Secretary, with Board and Senior Management.Manage the Company Secretariat Group Mailbox and administrative requirements of Directors, including Director expenses.Keep the Director and Board related pages of the Website and Intranet up to date.Review and improve operating practices within the Company Secretariat team to ensure it operates to its optimum.Process governance-related expenses through internal procedures.Monitor security holder queries and work together with the Business to coordinate responses and posting on the Board portal.Skills & ExperienceA minimum of 4 years experience in a similar role supporting a company secretary or company secretariat function.Experience in or ability to use online board paper management system; CAS 360 Board portal exposure would be highly desirable.Governance qualifications with the Governance Institute of Australia (highly desirable).Organised, methodical, and attentive to detail.Responsive and highly efficient in the provision of administrative support including strong MS Office skills.Proven experience to build and maintain relationships with relevant stakeholders including Directors at board level.To apply, please email a cover letter and an updated resume to Sandra Crawford at sandra.crawford@jlegal.com.au and quote reference no.
