Chief Legal Officer - General Counsel & Company Secretary - Consumer BankingSkip to contentChief Legal Officer - General Counsel & Company Secretary - Consumer BankingAdd expected salary to your profile for insightsThe Chief Legal Officer will report to the CEO with Senior Executive responsibility for the provision of legal and company secretarial support to both the Business and Board of Directors.Provide leadership and direction for the 6 direct reports ensuring high quality service delivery for internal and external stakeholders, driving continuous improvements for legal risk and governance management without compromising technical quality.Key responsibilitiesEnsure the Group remains informed of new or proposed legislation/regulation which may affect its activities;Counsel and advise management and directors on the legal, regulatory and compliance aspects of activities within their responsibility;Negotiate, draft and settle contracts and other legal agreements with external legal advisers where necessary;Drive improvements to processes and systems for contract approvals, execution and retention in conjunction with relevant client and vendor teams;Member of Management's Enterprise Risk Committee, and attendee at other management committee meetings;Statutory responsibility as an Officer and Responsible Person;Compliance with relevant prudential and regulatory disclosure requirements in line with the industry standards;Key contact and support to the Chair, individual Directors and Board as a whole, as required;Provide Secretarial support and advice for all Board, Board Committee;Reviewing and monitoring Board governance and advising on Charters;Anticipating shareholder needs/challenges from a corporate governance or company secretary perspective and advising the Board accordingly;Appointed as a Responsible Person by the Board under APRA's APS 520 Fit and Proper, and as Fit and Proper Officer;Manage the Group's insurance requirements;Accountable for managing Legal, Secretariat and Board expense budgets.The ideal candidatesQualified Solicitor admitted to practice in Australia, with at least 10 years' experience and a current unrestricted NSW practicing certificate;Either AICD or Governance Institute of Australia qualification (or equivalent) completed or in progress;Deep understanding of the financial services legislative and regulatory environment as well as corporate law expertise;Experience of managing a corporate legal team as well as company secretariat function;Experience in driving continuous improvements to legal risk and governance management without compromising technical quality;Sound commercial attitude towards legal issues and ability to influence through clear and concise written and verbal communicationsGreenfields is a specialist In-House Legal, Company Secretary and Corporate Governance Executive Search & Recruitment firm.
