Add expected salary to your profile for insights.As Australia's national body for engineering, Engineers Australia (EA) is a member-based NFP organisation assisting over 120,000 members.They provide members with resources, connections, and growth to do ethical, competent, and high-value work in the community.EA supports the engineering profession in every capacity, representing it in policy and advocacy, upholding professional standards, nurturing talent, and celebrating achievement.Position Purpose: The Head of Governance & Legal role will lead EA's legal and governance functions, ensuring compliance with regulatory requirements, enhancing regulatory risk management practices, and aligning governance processes with the organisation's strategic objectives.As an advisor to the CEO and Board, you will play a pivotal role in implementing best practice corporate governance and act as the conduit between the ELT, Board of Directors, National President, and senior management.This is a senior leadership role responsible for the provision of legal and governance services to the Engineers Australia group as it embarks on an exciting transformation period.Roles and Responsibilities: The role responsibilities include:Lead and manage governance risk by providing strategic legal and corporate governance advice to the Board, senior management, and the business;Oversee and manage (maintain, enhance, and continually improve) the company's Governance Framework, including policies, procedures, and controls to support optimised performance;Monitor and report on governance and legal performance and compliance to senior management and the Board;Oversee and lead the delivery of legal services to group operations by in-house legal counsel;Develop, implement, communicate, and maintain governance policies, processes, and procedures;Monitor management's compliance with standing delegations from the Board (and report any breaches).The role reports directly to the CEO and has four direct reports, including an accomplished Company Secretary, Assistant Company Secretary, and Legal Counsel.The successful candidate will be responsible for the preparation and effective running of main Board meetings and subcommittee meetings across Audit and Risk, People and Governance, Member and Stakeholder Strategy, and Board Nominations.The role can be based in Sydney or Melbourne.Some interstate travel will be required in the role to attend Board meetings.Experience and Capability: A legal qualification is essential for the role, as is a strong foundation in corporate governance practice and proven leadership capability at the Executive level.You will possess outstanding stakeholder management skills and demonstrate an ability to traverse a range of people across the organisation.You will ideally bring previous NFP, member-based experience managing company secretarial and legal functions.The successful candidate will have proven leadership and managerial experience and bring relevant professional qualifications in governance.Benefits:Novated Leasing;Salary packaging;4 weeks annual leave;15 days personal leave;3 days life leaves per calendar year;Qantas club discount;Flexible & hybrid working arrangement;LinkedIn learning license;Access to EAP;Flu Vaccinations;Working from home one-off reimbursement up to $295;Mobile phone allowance.
