Job Title: Company Secretary/Corporate Governance/Compliance (4 yrs-Senior)

Your New Role:
* As a KEY member of the winning national COMPANY SECRETARIAT/CORPORATE GOVERNANCE team led by industry-leading corporate legal compliance experts
* Reporting to the HEAD of COMPANY SECRETARIAT
* Providing company secretarial/corporate governance/compliance services to blue-chip external clients & internal corporate lawyers
Responsibilities include:
* Professional management of directors' and shareholders' meetings including AGMs
* Preparation of all relevant cosec documents including agendas, minutes of meetings, ASIC statutory forms/returns, resolutions, share transfers, board reports/minutes
* Managing of all regulatory lodgements
* Registering/maintaining business names
* Acting as a local agent for foreign registered companies
* Maintaining company registers, reviewing and updating statutory records
* Managing relationships with partners, lawyers, clients + external service providers/regulatory bodies (ASIC, share registries, ATO)
* All other general compliance with the Corporations Act

Who You Are:
* Preferably degree/diploma qualified in law/commerce/accounting (or similar) AND/OR formal qualifications from the Governance Institute of Australia/Institute of Chartered Secretaries
* Have minimum 4 years (or MORE) in a similar company secretary/corporate governance/compliance role preferably in a PROFESSIONAL SERVICES firm (eg law firm, accounting/financial services firm)
* Solid knowledge of the Corporations Act, company operational/reporting requirements + CAS (Corporate Affairs System) software (preferred but not essential)
* Outstanding communication/rapport building+ stakeholder management skills
* Possess high accuracy and can self-organise yourself to meet tight deadlines
