This aligns with our organisational values of Respect, Connect and Lead.About the RoleThe Board is seeking to fill a vacancy for the Independent Chair of the Remuneration & Nominations Committee. In accordance with the Board Charter, the Remuneration and Nominations Committee reports to the Western Victoria Primary Health Network (WVPHN) Board and provides appropriate advice and recommendations on matters relevant to the terms of reference to facilitate decision making by the Board in relation to the discharge of its responsibilities. The Committee will assist the Board with evaluation, selection and appointment practices that will ensure Directors of the Company are appointed under a transparent process. The Committee will recommend performance goals, objectives and remuneration for the Chief Executive Officer (CEO) plus remuneration for the Board of Directors to be considered by Members at the AGM each year. The Remunerations and Nominations Committee is appointed by the Board of Directors to assist the Board in discharging its oversight responsibilities.Western Victoria Primary Health Network (WVPHN) is governed by a skills-based Board of up to nine Directors under the Company's Constitution.WVPHN covers one of the largest geographic areas for PHNs in Victoria from the Greater Geelong area, the Barwon South-West region through to the South Australian border. This organisation has a central role in working across the region’s health system with a focus on high performing primary health care being accessible to the community, particularly for those at risk of poor health outcomes.Key Selection CriteriaThe Board will appoint a suitably qualified Independent Chair to the Remuneration & Nominations Committee, being a person who is not currently or at no future stage, will be allowed to join the PHN Board.The Chair, with assistance from the Board Secretary and the Company Secretary will:Schedule and issue notices of meetingsSupervise the preparation of agendas and meeting papers and distribute these one week prior to the meetingInvite others to attend meetings when required by the committeeGuide the meeting according to the agenda and time availableEnsure all discussion items end with a decision, action or definite outcomeEnsure minutes of the meeting are kept and approve these prior to distribution to the committeeMinutes will be distributed within 14 working days of the meeting.Please refer to the Position Description on our website for the complete list of Key Selection CriteriaEmployment requirementsBe prepared to undergo a National Police Check, prior to appointmentWorking rights in Australia (visa, permanent resident, citizen)How to ApplyThis is a highly attractive role and we are keen to find the right person, therefore we will be actively contacting applicants during the recruitment process to shortlist for suitability.
