The Company Secretary is accountable to the board of directors, through the Chairman, on company secretarial functions for the company, including for the functioning of the board or directors.This critical position is responsible for providing legally compliant, timely and high-quality company secretariat services and is a key role in the governance of the company. As an engaged and proactive business partner, the Company Secretary will liaise with the Chief Executive Officer, other members of the Executive Committee, General Managers, other WSA team members and stakeholders to achieve best practice administration and governance outcomes for WSA.Key responsibilities:Perform the duties of the Company Secretary (as an officer), under the Corporations Act for WSA Co Limited, WSI Land Co Pty Limited, and any other subsidiary of WSA Co Limited.Ensure all legislative and regulatory company lodgment, administration, filing, returns, notices, fees and all other requirements are met, early or on time, under the requirements of the Corporations Act, WSA Co specific legal requirements such as the PGPA Act and the Airports Act, and all other legal and regulatory requirements applicable to a corporation and a Commonwealth company GBE. Attend all Board and Committee meetings and prepare meeting minutes and action lists.Advance review of draft Board and Committee papers in accordance with a standard cadence. Management of corporate records and registers including without limitation the Directors’ Interests Register and Gifts and Hospitality Register.Collaborate with our Governance Administrator to plan and conduct Board and Committee meetings.Fulfill duties of other statutory appointments such as Privacy Officer, and Whistleblower Officer.Facilitate the Chief Legal Officer’s delivery of ongoing director’s duties education to directors.Attendance in the corporate office in Liverpool with transition to the Airport site at Badgerys Creek in the near future.About YouHigh quality experience as a Company Secretary with a minimum of 8 years’ experience as a Company Secretary within a high functioning Australian corporation, preferably with exposure to the airport or related sectors, and the Australian Commonwealth Government sector.Completion of relevant formal training as a Company Secretary under Australian law.Tertiary qualified with a relevant degree. Preferred qualifications and accreditations include: relevant post graduate education; a Chartered Secretary Australian qualification such as through the Governance Institute of Australia; and Australian directorship qualification such as through the Australian Institute of Company Directors.A professional with sound judgement, a disciplined approach, strong professional standards, attention to detail, and a high level of personal productivity, performance, credibility and integrity.The ability to understand and interpret all legislative, regulatory and policy documents. Advanced anticipation, planning and organisation skills, working effectively to exceed objectives.Highly developed interpersonal and written and verbal communication skills with the ability to work effectively with a diverse range of stakeholders including people of different cultures. Ability to be proactive, think through complex issues, identify solutions, and improve processes to facilitate continuous improvement in outcomes and productivity.
