Job DescriptionRESPONSIBILITIES1. Board GovernanceAttend quarterly Board meetings and Annual General Meetings and prepare draft agendas and minutesMonitor and advise on adherence to Board and Board sub-committee policies and proceduresMonitor observance of the Company Constitution, and work with lawyers to ensure it is kept current and in accordance with good practiceCoordinate periodic Board evaluations and reviews of committee chartersMaintain listing of current directors, details and tenureMaintain director orientation packs and participate in new director orientation as requiredRespond to Director queries regarding governance processes2. RegulatoryLiaise with ASIC regarding appointment / resignation of directors and other areas as required by lawLiaise with Australian Charities and Not-for-profit Commission (ACNC) regarding maintenance of information with the ACNC Register, Annual Information Statements and other areas required by law.Prepare and submit Annual Information Statements to ACNCAny other statutory functions as required by the Corporations Act and ACNC ActAttendance to other company register formalities such as Director nominations at each AGM and ad hoc requirements3. Legal and administrativeReview legal contracts as requested by managementWork with Compliance Advisor to provide advice to staff on a range of legal issues and seek pro bono legal advice where requiredWork with Compliance Advisor to maintain company policies in accordance with regulatory requirements and operational activities.4. Other Duties as requiredQualificationsSKILLS & ATTRIBUTESA commitment to Good Return's vision of a world without poverty where all people have access to resources and opportunities to improve their lives;Legal / Company Secretarial / Compliance training and experience preferred;Familiarity with the requirements under the Corporations Act and ACNC Act relating to directors' duties and charities essential.Additional InformationLocation : Sydney preferred.
