The Position
We are seeking a highly experienced and motivated Company Secretary to lead the governance function of VCEA. Reporting to the Board Chair and the Chief Executive Officer (CEO), this critical role ensures VCEA’s compliance with its statutory and canonical obligations. As a key member of the Secretariat, you will provide governance advice and support to the Board, its committees, and the Executive Leadership Team, contributing to VCEA’s mission and strategic priorities.
Key Responsibilities
* Board Support: Perform the role of Company Secretary, supporting the Board and its committees by organising meetings, preparing agendas, recording minutes, and maintaining accurate records of decisions and policies.
* Governance Leadership: Develop and implement VCEA’s governance practices to ensure compliance with the Corporations Act, Australian Charities and Not-for-profits Commission (ACNC) requirements, and canonical responsibilities.
* Compliance Management: Create and maintain compliance policies, processes, and procedures, while providing expert counsel on corporate governance principles and director liability.
* Stakeholder Collaboration: Build strong relationships across the organisation, supporting the Board, CEO, and senior management with governance advice and best practices.
* Registers and Documentation: Maintain the Register of Conflicts of Interest, Related Party Transactions, and Board policies, ensuring all governance documentation is current and accessible.
Key Requirements
With a minimum of six years’ experience in a corporate governance role and at least three years as a company secretary, the ideal candidate will demonstrate success in navigating complex hierarchies and structures, ideally with experience in the education or not-for-profit sector. Outstanding communication skills, the ability to influence, and strengths in building and maintaining stakeholder relationships will be essential in collaborating with the Board and senior executives, while exercising a high level of integrity and confidentiality. Experienced in building or developing a company secretarial function, you will be efficient in the proactive management of relevant processes and records, ensuring compliance and effective risk mitigation.
With a relevant tertiary qualification, the successful candidate will be personally aligned with the ethos, values and mission of Catholic education and to CECV values of fairness, transparency, integrity, and Christian concern for all.
The Organisation
VCEA is the peak body for Catholic education in Victoria. Established in 1973 by the Archbishop of Melbourne and the Bishops of the Ballarat, Sale, and Sandhurst dioceses, it was incorporated in 2006 and acts as the voice of Catholic education in State and national matters.
VCEA receives and distributes funding from state and federal governments for Catholic schools, provides strategic leadership and planning, and ensures proper governance in Catholic education statewide. It is responsible for sector leadership in education integrity and governance and has a Memorandum of Understanding to act as a Review Body for Catholic schools with the Victorian Registration and Qualifications Authority (VRQA). As a Review Body, VCEA supports, reviews, and monitors the compliance of Catholic schools with all registration, reporting, and other requirements under relevant laws.
