Corporate Counsel, Contracts and Exports Compliance Officer

Navantia Australia has been awarded the Designer Support Contract to provide comprehensive design and engineering support to all Navantia-designed ships in service with the Royal Australian Navy. This landmark contract marks a significant milestone for Navantia Australia, as it is the company’s first contract held directly with the Commonwealth of Australia (CoA), underscoring its commitment to innovation and excellence in the maritime industry.
We have an exciting opportunity for a Corporate Counsel and Contracts and Exports Compliance Officer to join the team out of its Garden Island, Sydney office. In the role you will provide legal experience towards commercial decision making and contract vehicle to progress new transactions and program delivery. You will play a key role to ensure that all operations of the organisation are compliant with relevant legislation, and assist in developing the legal intellectual capital of the business and developing processes and procedures for the efficient provision of legal services and mitigation of risks.
Your responsibilities will include:
* Performance of and assistance to the Contact and Subcontract management functions on the DSC Program as required.
* Drafting and Negotiation of Contract Change Proposals (CCPs).
* Drafting Correspondence-out in collaboration with the Head of Legal and Commercial and Contract / Subcontracts Managers.
* Contributor to the DSC Program compliance with DSC Contract obligations and regulatory obligations.
* Technical Data, Intellectual Property, Software record keeping, updates, management of licences, maintenance of TD and IP Registers.
* Use, maintain, contribute to precedent collateral (Correspondence, Policy / Norms, Contracts) of the Legal, Commercial and Contract (LCC) team.
* Act as the main interface on export control matters between the project team members and other internal and external stakeholders.
* Ensure that Navantia strictly complies with the requirements of the U.S. (ITAR, EAR), Australian and other applicable export controls.
* Liaise with government authorities and external consultants on regulatory matters, and provide the GC with information on laws and regulations that apply to Navantia’s activities.
* Responsible for maintaining details of all current U.S. Agreements (TAAs) to which Navantia is a signatory.
* Co-ordinate and forward license applications to the relevant authorities.
* Provide export compliance expertise to support the engineering, procurement, sales & marketing activities of Navantia.
* Support the GC by evaluating Navantia’s compliance with export controls and assist functional areas with the implementation of corrective actions, where required.
* Work with the SPO Director and other key stakeholders to effect a seamless flow of information between project staff, whilst meeting the regulatory requirements of US and Australian export controls.
* Work with the CISO to monitor and ensure compliance with the IT security obligations for all export controls.
* Liaise with the CISO to implement and monitor access controls for all export-controlled technology used at Navantia.
* Assist the Chief Legal Officer on legal matters (Drafting, major transactions, management of litigation, Monitoring legal and regulatory environment, development of policies, procedures and training programs).
As the ideal candidate, you will have:
* Admitted as a solicitor in one or more States in Australia
* 3+ years experience practicing in general commercial law
* Export compliance within the defence sector.
* Ability to provide commercially focused legal support.
* Excellent written and verbal communications skills with ability to communicate to people in a range of positions
* Ability to manage competing priorities and escalations.
* Ability to work autonomously
* Experience in-house supported high volume transaction work, or large scale program delivery.
* Experience in ASDEFCON based Naval Sector on project delivery highly regarded
