We are the only victim-based Aboriginal legal service in remote communities in the Top End region of the NT.
We have offices in Darwin (Larrakia land), Katherine (Jawoyn, Dagoman and Wardaman land) and Nhulunbuy (Yol?u land), and service over 40 remote communities within the Top End region spanning from the Tiwi Islands down to Lajamanu, Wadeye across to Borroloola.
We provide culturally sensitive legal advice, assistance, representation, and support to Aboriginal and Torres Strait Islander people in Top End communities who have experienced domestic, family, and sexual violence.
We offer a holistic and culturally appropriate model of service which sets us apart; seeking practical community-based solutions to the most complex legal problems.
Our primary practice areas are family law, child protection, and domestic violence; though we frequently intervene in coronial inquiries, parliamentary inquiries, and other administrative or criminal proceedings as required.ABOUT THE ROLEThis newly created position is responsible for ensuring governance, risk and compliance across all NAAFLS activities.
The Governance Officer / Executive Assistant will work closely with NAAFLS Board of Directors and Executive Team to ensure ORIC requirements which include meeting reporting deadlines and the NAAFLS Rule Book are adhered to at all times.
This role will act as a Company Secretary, providing secretarial services to NAAFLS Board and its sub-committees and provide high level administrative support to the CEO and Executive Team.KEY RESPONSIBILITESLead and implement a cross-functional approach to governance, compliance, risk management, and quality assurance.Ensure effective governance frameworks, plans, policies, and procedures are established, implemented, and maintained across NAAFLS.Implement and maintain a risk management framework in compliance with relevant legislation and standards.Implement and maintain a compliance management framework to ensure compliance with relevant legislation and standards.Manage and maintain quality, risk, and compliance management systems.Oversee the development and review of all NAAFLS policies, ensuring alignment with best practice and regulatory requirements.Company SecretarialEnsure adherence to the NAAFLS Rule Book and compliance with ORIC, ACNC, and other statutory and regulatory obligations, including submission of required reports.Provide general advice to the Board and its sub-committees on corporate governance best practices.Coordinate Board matters, including member engagement, inductions, training, and board effectiveness assessments.Ensure that meetings are called, held, and properly minuted, with resolutions and actions arising appropriately recorded.Maintain key registers, such as the register of members and declarations of interest.Coordinate and manage the Annual General Meeting (AGM).Stakeholder Engagement and CommunicationAct as a liaison between the Board and Executive Team to ensure clear and open communication.Foster positive relationships with internal and external stakeholders, including regulatory bodies and service providers.Promote NAAFLS' governance principles internally and to external partners.Continuous Improvement and Best PracticeDrive continuous improvement in governance processes, risk management, and compliance.Stay informed of best practices in governance and integrate insights from audits, peer organisations, and other sources into NAAFLS' governance framework.Conduct regular governance reviews to ensure that policies, procedures, and controls are up-to-date and effective.Administrative SupportProviding high level executive support to the CEO and Executive Team.Participate in special projects as required.DUTIESLeadership and Coordination:Lead the implementation of governance, risk, and compliance processes across NAAFLS, ensuring alignment with organisational objectives and compliance standards.Act as the key advisor to the CEO and Board on all governance matters, including risk and compliance management, and corporate governance best practices.Policy and Procedure Management:Develop, review, and implement policies and procedures to ensure effective governance and risk management across NAAFLS.Ensure that policies are up-to-date and compliant with legislative changes and regulatory requirements.Board Support and Administration:Coordinate and manage the administration of the Board and its sub-committees, ensuring that meetings are scheduled, agendas are prepared, minutes are recorded, and actions are tracked.Ensure Board and committee members receive timely and relevant information, support, and training to fulfill their governance responsibilities.Risk and Compliance Oversight:Maintain a proactive approach to identifying, assessing, and mitigating risks across the organisation.Oversee the management of client complaints, incidents, and whistleblower disclosures, ensuring appropriate responses are coordinated in line with policies.Reporting and Regulatory Compliance:Ensure the timely preparation and submission of all necessary regulatory and compliance reports.Provide guidance to ensure that NAAFLS meets its statutory obligations under relevant legislation and regulations.Develop and implement systems for ongoing monitoring, review, and improvement of governance and compliance practices across the organisation.Lead initiatives that improve the governance culture within NAAFLS, ensuring that all staff are engaged with governance processes.Administrative SupportProvide high level executive support to the CEO and Executive Team.Participate in special projects as required.Organisational requirements.Build a positive culture within the service which is aligned with NAAFLS' values and Strategic Plan.Participate in all staff and team meetings as required.Adhere to privacy and confidentiality policies as CRITERIAExperience in governance, risk management, compliance, or legal roles, with an understanding of corporate governance principles and regulatory frameworks.Demonstrated experience in a leadership role, ideally within a not-for-profit, Indigenous, or public sector organisation.Expertise in supporting Boards and senior management on governance matters.Strong understanding of Aboriginal and Torres Strait Islander legal and cultural issues.Familiarity with regulatory frameworks such as the ORIC, ACNC and other governance-related requirements.Knowledge of risk management, compliance, and legal processes.Excellent organisational, analytical, and problem-solving skills.Strong communication and interpersonal skills, with the ability to engage effectively with stakeholders at all levels.Ability to work autonomously and as part of a team.Commitment to cultural sensitivity and respect for Aboriginal and Torres Strait Islander peoples.Integrity, transparency, and accountability in all aspects of work.Must obtain a Working With Children Clearance (WWCC), a clear Criminal History Check and possess a current 'C' Class NT Drivers Licence.A degree in law, business
