Ethics & Compliance Legal Consultant
Duration: 6-Month Assignment
Join a dynamic team as an Ethics & Compliance Legal Consultant, where you will play a crucial role in managing and executing ethics and compliance due diligence for mergers and acquisitions (M&A), including acquisitions, investments, and divestitures. This role requires close collaboration with internal stakeholders such as Business Development, Legal, and Regulatory teams, as well as oversight of third-party experts, including outside counsel, consultants, and auditors. You will be responsible for assessing compliance risks, developing mitigation plans, and ensuring smooth post-close integration.
Key Responsibilities:
* Lead ethics and compliance due diligence efforts for global M&A transactions, evaluating risks in key areas such as data privacy, regulatory compliance, anti-corruption laws, promotional marketing, and government contracting.
* Prepare detailed risk assessments with ranked observations and actionable remediation plans for both pre- and post-close phases.
* Engage with internal teams and external stakeholders, including underwriters and subject companies, to align compliance efforts.
* Oversee the engagement, budgeting, and deliverables of third-party consultants, law firms, and auditors.
* Implement and track post-close compliance measures, ensuring all identified risks are effectively mitigated.
* Develop reports, presentations, and executive-level summaries to communicate findings and action plans.
* Review transactional agreements, advising on critical legal provisions related to indemnification, representations, warranties, and compliance obligations.
* Provide timely notifications and coordinate post-close integration with relevant Ethics & Compliance and internal teams.
* Stay ahead of evolving regulatory and legal compliance requirements, assessing their impact on M&A activities.
Required Qualifications:
* Admitted to Bar / Law or graduate degree required
* Life sciences/Healthcare industry experience a plus

* Experience in the life sciences or healthcare industry.

* Strong knowledge of industry best practices and regulatory frameworks.
* Proficiency in compliance tools, systems, and due diligence procedures.
* Exceptional planning, organizational, and project management skills.
* Ability to analyze complex issues and develop strategic solutions.
* Excellent verbal and written communication skills, including the ability to present to senior executives.
* Strong negotiation and conflict resolution abilities.
* Proven ability to build partnerships across all levels of an organization and externally.
* Adept at managing budgets and overseeing third-party service providers.
