Corporation SecretaryMiwatj Health Aboriginal Corporation (MHAC)The Corporation Secretary at MHAC plays a pivotal role in delivering high-quality secretariat and governance services to the MHAC Board, ensuring culturally appropriate corporate governance standards. This dynamic position, based in Darwin or Nhulunbuy, requires proactive management of incorporation compliance, including timely submissions and maintaining member registers, as well as overseeing Board elections and director recruitment. The Corporation Secretary will expertly coordinate Board and sub-committee meetings, preparing annual agendas, managing minutes, tracking actions, and organizing general member meetings. A key focus includes developing governance training, fostering member recruitment and community engagement, and managing a comprehensive legal compliance register. This role also supports grant agreement processes and ensures Board member accreditations are current. This is a unique opportunity for a detail-oriented governance professional to shape impactful leadership and compliance frameworks in a culturally rich and community-driven organization.Key ResponsibilitiesEnsure all incorporation compliance obligations are met on time, including but not limited to submission of the ORIC General Report and maintenance of member registers.Actively manage compliance with all aspects of MHAC’s Rule Book including holding Board elections and managing Board membership and recruitment of independent directors.Provide a comprehensive secretariat service to the MHAC Board including all aspects of arranging Board meetings, preparation of an annual agenda calendar, taking and timely completion of meeting minutes, timely distribution of meeting actions and proactive monitoring of their progress.Provide a comprehensive secretariat service for the Board Corporate Governance and Nominations Sub-Committees, including all aspects of arranging sub-committee meetings, preparation of annual agenda calendars, taking and timely completion of minutes, and management of meeting actions.Organise all aspects of General Meetings of members ensuring that they occur within stipulated timeframes.Identify and facilitate corporate governance training opportunities for Board members, develop an annual calendar and coordinate training sessions/workshops.Ensure the minutes and actions of all Board sub committees and advisory groups are included on Full Board meeting agendas.Assist the Board to develop and implement member recruitment initiatives and support community engagement and participate in these initiatives as required.Development, maintenance and management of a MHAC Legal Compliance Register.In collaboration with the Grants and Executive Officers, support the execution process of grant agreements as required, in compliance with the funding bodies.Ensure all Board members have requisite accreditations including Director’s ID, WWC card, NDIS accreditation etc.Renumeration$103,826 per annum + 11.5% superannuationAbout The OrganisationOne of Australia’s largest providers of Aboriginal healthcare, Miwatj Health is an independent Aboriginal Community-Controlled Health Service. With a Head Office in Nhulunbuy, Miwatj also manages a Corporate Office in Darwin, 7 fixed clinics across the East Arnhem region, and dedicated outreach teams who travel to 3 additional locations.Selection CriteriaThe ideal candidate will meet the eligibility criteria to register with ORIC (Office of the Registrar of Indigenous Corporations) and demonstrate a deep understanding of Aboriginal Community Control, self-determination, and the unique challenges faced by Yolŋu people in remote East Arnhem Land. Strong communication skills, particularly in engaging with Yolŋu communities, and superior written communication abilities, including taking detailed, accurate minutes, are essential. The role requires expertise in corporate governance principles, logistics, and event management, along with the ability to interpret and enhance Rule Books through continuous quality improvement. Candidates must be willing to travel across East Arnhem Land, sometimes in light aircraft, possess a current manual driver’s license, and hold an Ochre Card (NT Working with Children Check).Essential RequirementsMeet the eligibility criteria to register as a Corporation Secretary with ORIC.An understanding of and commitment to Aboriginal Community Control and self-determination.An understanding of the issues faced by Yolŋu people living in remote settings.Ability to effectively communicate with Yolŋu from East Arnhem Land.High level written communication skills including the demonstrated ability to take complex, lengthy minutes.Demonstrated logistic and event management skills.Demonstrated knowledge of corporate governance principles.Demonstrated ability to read and interpret Constitutions (Rule Books) as well as manage a process of continuous quality improvement leading to Rule Book amendment and enhancement.Ability and willingness to travel across East Arnhem Land for up to a week at a time, including travel in light aircraft.Current manual driver’s license.Current Ochre Card (Working with Children’s Check NT).DesirableDegree in law, business or a relevant discipline.At least 5 years’ experience in a similar role or performing similar duties.How To ApplyApply online via the website linked.
