Description About the role The Manager, Governance ensures the Centre’s compliance with relevant legislation and strategic governance frameworks, develops and maintains policies, provides support to Centre staff and Trust and Subcommittee members, and fosters a culture of ethical governance. The position designs and implements internal governance frameworks ensuring support of compliant and effective business operations and transactional work. This role provides risk-based advice and collaborates with our legal retainer on contractual and procurement matters including contract negotiations, cyber and technology services, commercial transactions, major projects, privacy and data security, intellectual property and employment and industrial relations advice. This position is integral to promoting transparency and ensures the Centre meets all legislative and mandatory compliance requirements, including managing compliance breaches and facilitating training programs for staff. This position assists the Director Corporate Services and Executive Assistant to CEO to manage Trust and Subcommittee governance and provides organisational and administrative support to these committees. Skills And Experiences Essential qualifications and experience For appointment to Grade 5.1 To be successful in this position you will have: Qualifications in business, accounting, legal, risk management, governance, compliance or audit or a combination of relevant experience and qualifications in a related discipline. Experience (3 – 5 years) in governance, risk, and compliance, with knowledge of relevant regulations, policies, and sector best practices. A proven track record managing governance, risk and/or compliance frameworks and /or conducting Business Continuity Management planning and / or managing privacy frameworks including conducting privacy breach assessments. Strong communication skills, with the ability to engage and influence stakeholders at all levels, fostering a culture of compliance and accountability. Analytical and problem-solving mindset, demonstrating curiosity and confidence when working with policies, regulations, and governance challenges with an ability to translate compliance requirements into practical, engaging, and accessible processes for staff. Experience preparing documentation and reporting for Board / Trust and Audit and Risk Committees. Demonstrated high level of discretion, sensitivity, trust and pragmatism. Experience in building strong and productive working relationships with key stakeholders at all levels of the business. Technological proficiency, particularly across Microsoft 365 and other digital compliance tools. In addition, and for appointment at Grade 5.2: Substantial experience (5 years) in governance, risk, and compliance, with knowledge of relevant regulations, policies, and sector best practices. Track record of implementing practical and legally sound solutions regarding commercial transactions, contractual and procurement issues and generalist corporate matters. Experience as an effective Trust or Board Secretariat. Desirable qualifications and experience Experience supporting an internal audit function including working with independent assurance providers. Experience as a corporate or commercial lawyer providing legal advice at a senior level. Familiarity with governing legislation including the Financial Management Act (1994) and the Public Administration Act (2004) together with experience working in a Victorian public entity or similar organisation. A genuine passion for providing exceptional support and contributing to the overall success of the team. Special requirements Flexibility in working hours to support daytime, evening, and some weekend work will be required as part of the normal hours of duty for this position.
