Who we are looking for Reporting to the Company Secretary, and as a team member of the first line Business & Entity Support team, the Deputy Company Secretary manages the provision of corporate secretarial services, corporate governance and related regulatory services and advice and assists with the first line regulatory risk management for all the State Street legal entities and business units in Australia.
In addition, this role will support the Company Secretary meet the country and organisational goals including the management of programs supporting culture initiatives of the Australian business and have local oversight of specific global programs and governance arrangements supporting the Australian business.
The role will require a person that can be proactive and work autonomously but also requires a strong collaborative nature and the ability to influence change.
What you will be responsible for As the Deputy Company Secretary for Australia, you will be responsible for and support: the complete planning, preparation, minutes and oversight of all Board and Committee meetings for the Australian legal entities and foreign entities registered in Australia all related company secretarial and legal entity obligations for the Australian legal entities and foreign entities registered in Australia the activities and maintenance of all the relevant company statutory registers and associated external and internal reporting requirements all the activities, maintenance and reporting related to all regulatory required licencing frameworks covering all individual and business registrations maintenance of and advice relating to the regulatory and legislative framework supporting Australian Board governance the business units by providing governance support and advice to manage processes that require legal entity approval the business units by providing governance support and advice to manage regulatory programs and legislation and coordinate appropriate governance reporting mechanisms all relevant execution of documents and requests related to the business units and legal entities.
Legal Entity Governance Coordinate, action and oversee relevant Legal Entity governance programs and activities to support regulatory compliance, change and reporting for all the Australian legal entities.
Facilitate and provide assistance for the legal entity and business units during Corporate Audits and other internal testing or queries related to the functional tasks of the role.
Work with the team to understand, support and manage all components of business, compliance and operational risk and the regulatory obligations in relation legal entity governance.
Support the Company Secretary meet the country and organisational goals including the management of programs supporting culture initiatives of the Australian business Manage the local oversight of specific global programs and governance arrangements supporting the Australian business.

Education & Preferred Qualifications Degree holder (legal degree preferred) with experience in financial services or if non degree holder, strong proven experience in this field.
Professional association or desire to gain qualifications with Governance Institute.
Knowledge of Australian laws and practice, knowledge of corporate governance processes and knowledge of the legislative and regulatory framework governing financial services businesses.
This may have been obtained outside of the corporate secretarial environment.
