The Role This role sits within the broader Corporate Group in Sydney in a specialist US capital markets team, and involves advising Australian and New Zealand issuers and underwriters on US capital markets transactions such as: establishing American Depositary Receipt programs; Rule 144A and Section 4(a)(2)/Reg. D private placements as part of Australian IPOs and secondary offers; initial public offerings in the United States; SEC reporting obligations for Nasdaq-listed clients; and securities law aspects of M&A transactions. The team also advises on other US securities and corporate law matters. In addition, working with colleagues in other offices, the team provides Australian clients with securities law advice in relation to other countries. Qualifications/Experience: US qualified lawyer with 5 - 10 years' experience in US capital markets. Experience in equity transactions is essential and experience across equity and debt transactions would be preferred. Experience ideally gained in a similar firm environment. Strong technical, drafting and commercial skills. Strong client service ethic. Ability to work well as part of a team.
