About us The Royal Australasian College of Surgeons (RACS) is the leading advocate for surgical standards, professionalism and surgical education in Australia and Aotearoa New Zealand.

There are nine surgical specialties in Australasia being: Cardiothoracic Surgery, General Surgery, Neurosurgery, Orthopaedic Surgery, Otolaryngology Head and Neck Surgery, Paediatric Surgery, Plastic and Reconstructive Surgery, Urology and Vascular Surgery.
About the role You will play a pivotal role in advising the Board of Directors, Council, President (Board Chair), and CEO on corporate governance matters.
You will provide secretariat services and ensure the efficient administration of Board and Council processes, delivering high-quality outputs that align with RACS's objectives.
This is a key position requiring exceptional organizational skills, attention to detail, and the ability to manage relationships with internal and external stakeholders.
Key Responsibilities: Provide advice to the President, Board, Council, and CEO on corporate governance matters.
Review and maintain the College/Board Compliance Framework, updating and promulgating regulations, policies, and procedures.
Monitor and report on compliance with statutory obligations, including ACNC and other regulatory bodies.
Coordinate annual elections to the Council and referenda as required.
Manage the induction, retirement, and reappointment processes for Councillors.
Ensure regular performance reviews and governance training for Councillors.
Facilitate the administration of Board processes and ensure effective information flow between Board, Council, and RACS management.
Provide secretariat services to the Board, Board Committees, Council, and Council Executive, including preparing agendas, minutes, and briefing papers.
Submit necessary notifications and reports to relevant authorities in compliance with the Corporations Act.
Oversee the management of conflicts of interest and ensure compliance with the RACS Constitution and regulations.
Coordinate the implementation of Board and Council decisions and ensure timely reporting.
Prepare for and manage the AGM and all associated administrative activities.
Develop, implement, and maintain relevant policies, processes, and procedures.
Essential Skills and Qualifications: Legal qualification and/or relevant work experience in a comparable role.
Significant experience in a company secretarial position.
Expertise in Australian/New Zealand corporate governance principles and understanding of the Corporations Act.
Exceptional written and verbal communication skills with the ability to prepare reports, briefs, and correspondence.
Strong interpersonal skills and proven ability to build relationships with diverse stakeholders.
Ability to prioritize tasks effectively and meet deadlines in a fast-paced environment.
This role is full time on a max term contract for 12 months.
